End-User License Agreement

This End-User License Agreement ("Agreement") is a legal agreement between you ("User") and VibeWare LLC ("VibeWare", "we", "us", or "our") for the use of ClearSpark software ("Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the Software.

1. License Grant

Subject to your purchase and continued compliance with this Agreement, VibeWare grants you a personal, non-exclusive, non-transferable, limited license to install and use the Software on devices you own or control, solely for your personal, non-commercial purposes.

This license is perpetual for the version purchased — there are no subscription fees or expiration dates on your right to use the version you bought. Future major versions may be sold separately.

2. Restrictions

You may not, and may not permit others to:

• —Copy, reproduce, or distribute the Software to any third party
• —Sell, resell, rent, lease, or sublicense the Software
• —Share, post, or otherwise make your download link available to others
• —Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
• —Modify, adapt, translate, or create derivative works based on the Software
• —Remove, alter, or obscure any copyright, trademark, or proprietary notices in the Software
• —Use the Software for any unlawful purpose or in violation of any applicable regulation
• —Use the Software in any way that could damage, disable, or impair VibeWare's systems or services

3. Ownership

The Software is licensed, not sold. VibeWare LLC retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not transfer any ownership rights to you.

All trademarks, service marks, logos, and trade names associated with the Software are the exclusive property of VibeWare LLC.

4. Updates

VibeWare may release updates, patches, or new versions of the Software from time to time. Minor updates to the version you purchased are included at no charge. Major new versions may be released as separate paid products.

Any updates provided by VibeWare are governed by this Agreement unless a separate license accompanies the update, in which case the terms of that separate license will apply.

5. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

VibeWare does not warrant that the Software will be error-free, uninterrupted, or produce any specific result on your system. Results will vary depending on your hardware configuration, installed software, and system state.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VIBEWARE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE.

In all cases, VibeWare's total liability to you shall not exceed the amount you paid for the Software.

7. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically and without notice if you fail to comply with any of its terms.

Upon termination, you must cease all use of the Software and destroy all copies in your possession. Sections 3, 5, 6, and 8 of this Agreement survive any termination.

8. Governing Law

This Agreement is governed by the laws of the United States. Any disputes arising from this Agreement shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with applicable law.

9. Entire Agreement

This Agreement, together with VibeWare's Terms of Service and Privacy Policy, constitutes the entire agreement between you and VibeWare LLC with respect to the Software and supersedes all prior agreements and understandings.
